Strategy & Planning

• Conduct a thorough legal review (Legal Due Diligence) on problematic accounts that will be transferred to Loan Workout
• Submitting to Loan Workout regarding the findings / results of the legal review regarding the problematic account to be transferred.
• Provide legal opinions and strategic options for non-performing loans based on the findings.
• Coordinate with the team in managing legal risk on the recommended litigation strategy, related to the settlement of bad debtor loans at the Loan Workout sub-directorate.
• Together with the Private Auction team, they conduct a review of the collateral assets to be auctioned.
• Together with the Private Auction team, make and submit a memo proposing the appointment of a Private Auction Center (BLS).
• Together with the Private Auction team, coordinate with BLS for auction preparation.
• Draft an Offering Letter in accordance with the approval of the Credit Committee.
• Drafting the Credit Agreement Addendum in accordance with the approval of the Credit Committee, Offering Letter, NAK, previous Credit Agreement.
• Coordinate with Notaries related to the making and signing of the Credit Agreement Addendum.
Create legal documents required / required for restructuring / addendum to be carried out.

Business Performance and Management

• Make / review draft letters / correspondence from and to Debtors / investors / other third parties.
• Provide legal consultation services orally or in writing to Loan Workout related to the settlement of problematic debtors.
• Together with Loan Workout to conduct meetings / negotiations with Debtors, investors, other related third parties.
• Reviewing the Debtors articles of association and providing legal consent for the release / issuance of debtor documents.
• Monitoring case developments and reviewing litigation performance reports before being sent to the Legal Center.
• Monitoring the existence of civil lawsuits, criminal reports, PKPU / Bankruptcy applications, confiscation / blocking and other legal cases related to accounts handled by Loan Workout.
• Execute a litigation strategy that has been approved by the Credit Committee.
• Recommend Law Offices that have been bidding and are suitable to handle cases.
• Recommend Litigation strategies to the LWO Team regarding the Appointment of Law Firms in accordance with Managements approval;
• Reviewing the completeness of legal documents before submitting litigation steps or before becoming evidence for trial;
• Coordinate with the Law Office related to Appeal, Cassation to Judicial Review along with supporting documents for the latest Litigation case that is being handled;
• Coordinate with the Law Office regarding the Development of Case Reports, especially those being handled;
• Representing CIMB Niaga in court proceedings at the District Court, High Court, Supreme Court to Judicial Review, including making and preparing all required court documents.
• Provide assistance to CIMB Niaga employees related to summons from the police, both as witnesses, as reported parties and as reporters.
• Ensure that prospective buyers know and understand the cessie and its risks.
• Ensure that due diligence and cessie preparation processes have been carried out and the required documents have been met.
• Drafting the Deed of Receivable Sale and Purchase Agreement, Cessies Deed, Notification Letter, Cessies Completeness Checklist.
• Coordinate with the Notary regarding the preparation and signing of the Deed.
• Ensure the signing of the Deed runs smoothly and has fulfilled all the requirements in the Checklist.
• Ensure that the Notification Letter is sent to the Debtor.
