Legal Manager / Senior Manager

1.    Develop the Legal Divisions work plan in alignment with the companys business plan, ensuring all legal activities are well-planned and directed to effectively and timely achieve the divisions targets.

2.    Design and implement the companys legal SOPs by referring to the Holding companys policies and SOPs, regularly evaluate their effectiveness, and improve any deficiencies to support smooth, effective, and efficient legal operations.

3.    Direct and monitor legal activities in business units, including preparation of amendments to the Articles of Association, company licensing, execution of General Meeting of Shareholders (GMS) activities, and other corporate legal matters, in accordance with company policies and applicable laws to ensure the company is legally protected and can operate effectively.

4.    Handling company licensing processes based on NIB-OSS system.

5.    Carrying out legal activities related to Sale and Purchase Agreements (PPJB and AJB) in coordination with partner notaries, in accordance with applicable laws and regulations.

6.    Performing supervision and monitoring of the legal teams performance and reporting to the superior.

7.    Act as legal advisor to management, providing legal opinions and recommendations for corporate legal actions.

8.    Review monthly reports from all legal departments under the Legal Division Heads supervision, analyze them, and identify potential legal issues or risks for timely preventive and anticipatory measures.

9.    Coordinate with other divisions to provide legal advice and prepare necessary legal documents related to their activities.

10.  Draft and review contracts and terms & conditions proposed by third parties, ensure alignment with company policy and applicable laws, conduct negotiations, and secure optimal, safe, and beneficial outcomes for the company.

11.  Establish and maintain good relationships with internal and external parties to support effective and efficient operations of the Legal Division.

12.  Prepare the Legal Divisions budget, submit it for review and approval, and control its utilization to ensure smooth and effective operations.

13.  Identify staffing needs, select, and recommend suitable candidates for recruitment.

14.  Set performance standards for each employee, with clear duties, responsibilities, and authority to create a productive and conducive work environment.

15.  Monitor subordinates performance, provide direction, mentoring, and coaching, and identify appropriate development needs to improve capabilities.

16.  Conduct performance appraisals in accordance with the established procedures and schedule.
